Real Estate Acquisitions and Sales: The firm has represented
developers, institutional investors and individuals in the purchase and sale of
properties in over 30 states. Our lawyers have handled transactions involving
retail and industrial properties, residential properties, office buildings,
health care facilities, manufactured home communities, recreational vehicle
resorts and undeveloped land. The firm has also represented buyers and sellers
in the completion of Section 1031 exchanges and sale-leaseback transactions.
From the due diligence investigation to the negotiation of closing documents, we
are able to handle every aspect of the deal.
Finance: Our lawyers have represented lenders and borrowers in
the origination of many billions of dollars in construction, bridge and
permanent loans. We have extensive experience in representing lenders and
developers in the financing of single and multifamily housing developments and
commercial properties, including regional and neighborhood shopping centers,
hospitals and other health care facilities, hotels, office buildings, industrial
complexes, golf courses, manufactured home communities and recreational vehicle
resorts. In addition, our lawyers have represented lenders and developers in
structuring, documenting and closing secured and unsecured lines of credit,
multi-property revolving facilities and letter of credit facilities.
Development of Real Estate: Our practice includes the ongoing
representation of developers, landowners, tenants and lenders in preparing and
negotiating construction contracts, development agreements, management
agreements, reciprocal easement agreements, CC&R's and other real estate
related contracts. We have also represented clients before public bodies in
negotiating conditional use permits, zoning changes, parcel and subdivision
mapping and lot line adjustments. Our lawyers are experienced in coordinating
all aspects of the land use approval process including the supervision of
technical consultants and serving as the primary contact for the client so that
the client may quickly and efficiently learn the status of the approval process
at all times.
Leasing: We have represented landlords and tenants in the
leasing of office space, retail and industrial properties, movie theaters,
health care facilities, airport hangars and undeveloped land, whether on a
gross, modified gross or triple net basis. We have also represented landlords
and tenants in build to suit leases and ground leases.
Public Finance: Our lawyers have represented developers and the
providers of credit enhancement in connection with the issuance of many billions
of dollars in taxable and tax-exempt bonds, which have been used to finance
apartments, industrial facilities, hospitals and major infrastructural
improvements. We also advise clients on compliance issues which inevitably arise
with respect to properties which are subject to tax-exempt financing.
Workouts and Foreclosures: We have represented lenders and
borrowers in a host of workouts, foreclosures, deeds-in-lieu of foreclosure and
other related transactions. Our experience includes representation of major
financial institutions in restructuring secured and unsecured credits to several
of California's leading homebuilders. The firm has also represented lenders
and borrowers in the formulation of pre-bankruptcy and other workout strategies,
resulting in creative solutions to often difficult challenges.
Taxation: The firm has extensive experience with choice of
business entity considerations, conversion of corporations to pass-thru
entities, tax planning for multiple-entity businesses and closely held groups
and tax planning to achieve tax efficient structures for business entities and
their owners.
Business Formation: The firm's practice includes the area of
business formation, where our lawyers have represented a wide range of clients,
including institutional and individual investors, in forming partnerships, joint
ventures, corporations and limited liability companies. By developing a thorough
understanding of our clients' business objectives, our lawyers are able to
assist clients in achieving those objectives sensibly and in a cost-effective
manner.
General Business Law: We have represented businesses and
individuals in mergers, acquisitions, asset sales, stock purchase agreements and
dissolutions involving real estate and non-real estate related companies. In
addition, we routinely assist clients in preparing and reviewing employment
agreements, franchise agreements, licensing agreements, and other business
contracts.
